Please read these terms carefully before using our service.

These Terms of Service ("Terms") govern your access to and use of the Testimint platform ("Service") operated by SIZORAX LTD, a company registered in England and Wales (company number 16955799) ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

These Terms are governed by the laws of England and Wales and the UK General Data Protection Regulation ("UK GDPR"). If you are a consumer in the United Kingdom, nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015 or other applicable consumer protection legislation.

1. Description of Service

Testimint is a software-as-a-service platform that enables businesses to:

  • Collect customer testimonials through customizable forms
  • Accept text, image, video, and audio testimonials
  • Organize testimonials into projects and collections
  • Display testimonials through embeddable widgets and public pages
  • Analyze testimonials using AI-powered features (transcription, summarization, sentiment analysis)
  • Track analytics on testimonial displays and interactions
  • Integrate with third-party services (Slack, webhooks)
  • Access testimonials programmatically through APIs

2. Account Registration

2.1 Eligibility

You must be at least 16 years old to use the Service. By creating an account, you represent that you are at least 16 years old and have the legal capacity to enter into these Terms.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

2.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3. Workspaces and Team Collaboration

The Service allows you to create workspaces and invite team members with various roles (owner, admin, editor, viewer). As the workspace owner, you are responsible for:

  • Managing team member access and permissions
  • Ensuring team members comply with these Terms
  • All activities that occur within your workspace
  • Maintaining appropriate billing for your plan

4. Subscription Plans and Payment

4.1 Plans

The Service is offered through various subscription plans (Free, Pro, Business) with different features and limits. Plan details, features, and pricing are displayed on our website and may change with notice.

4.2 Payment

Paid subscriptions are billed in advance on a monthly basis. All payments are processed through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on file for all applicable fees.

4.3 Refunds

Subscription fees are non-refundable except as required by applicable law or at our sole discretion. You may cancel your subscription at any time, and your access will continue until the end of your current billing period.

4.4 Plan Limits

Each plan includes limits on projects, testimonials, and bandwidth. If you exceed these limits, you may be required to upgrade to a higher plan or reduce usage.

4.5 Price Changes

We reserve the right to modify pricing with 30 days' notice. Price changes will take effect at the beginning of your next billing cycle after the notice period.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the intellectual property rights of others
  • Collect or display testimonials without proper consent from testimonial authors
  • Create, store, or display fake or misleading testimonials
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to the Service or other accounts
  • Interfere with or disrupt the Service or servers
  • Scrape, mine, or extract data from the Service without authorization
  • Use the Service for spam, phishing, or deceptive practices
  • Harass, abuse, or harm others
  • Collect, store, or display content involving minors without appropriate parental consent
  • Display testimonials containing hate speech, violence, or illegal content
  • Circumvent rate limits or usage restrictions
  • Resell access to the Service without authorization

6. Testimonial Collection and Consent

6.1 Your Responsibility

You are solely responsible for ensuring that you have obtained proper consent from testimonial authors before collecting, storing, processing, and displaying their testimonials. This includes consent for:

  • Collection and storage of their personal information
  • Display of their testimonial on your website or marketing materials
  • Processing of their content by AI systems (when AI features are enabled)
  • Any other use you make of their testimonial

6.2 Consent Records

The Service records consent timestamps and, where available, IP addresses when testimonials are submitted. You are responsible for maintaining any additional consent documentation required by applicable law.

6.3 AI Feature Consent

IMPORTANT: If you enable AI features (transcription, summarization, sentiment analysis, topic extraction), testimonial content will be sent to OpenAI for processing. You must ensure you have appropriate consent from testimonial authors before enabling AI features on their content.

6.4 Media Content

When testimonials include media content (photographs, videos, or audio recordings), you are solely responsible for ensuring:

  • You have obtained all necessary rights, licences, and consents to use such media
  • The media does not infringe any third party's intellectual property rights, including copyright
  • Any individuals depicted in photographs or videos have provided appropriate consent for their image to be used and published
  • The media does not contain defamatory, obscene, or unlawful content
  • You have obtained any necessary releases for personality rights or image rights under applicable law
  • The media complies with all applicable laws, including but not limited to the Defamation Act 2013 and the Copyright, Designs and Patents Act 1988

6.5 Defamation and Unlawful Content

You acknowledge that you are responsible for ensuring that all testimonials (including text, images, videos, and audio) do not:

  • Contain false statements of fact that could damage the reputation of any person or entity
  • Constitute defamation, libel, or slander under English law
  • Infringe the privacy rights of any individual
  • Constitute harassment or breach any court order or injunction
  • Violate any applicable advertising standards or consumer protection laws

WARNING: Under the Defamation Act 2013 and common law, publishing defamatory testimonials may expose you to legal liability. We strongly recommend reviewing all testimonials before publication and implementing moderation practices.

7. Content and Intellectual Property

7.1 Your Content

You retain ownership of all content you submit to the Service, including testimonials, media files, branding assets, and configurations ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and process Your Content as necessary to provide the Service.

7.2 Testimonial Author Content

Testimonials submitted by third parties through your projects remain the property of those testimonial authors or are licensed to you by them. You are responsible for ensuring you have appropriate rights to use and display such content.

7.3 Our Intellectual Property

The Service, including its design, features, code, documentation, and trademarks, is owned by SIZORAX LTD (trading as Testimint) and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

7.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose.

8. API Access

Business plan subscribers may access the Service through our API. API access is subject to:

  • Rate limits and usage quotas
  • Secure storage and handling of API keys
  • Prohibition on sharing API keys with unauthorized parties
  • Revocation at our discretion for misuse

You are responsible for all activity that occurs using your API keys. Report any compromised keys immediately.

9. Widgets and Embedding

The Service provides embeddable widgets for displaying testimonials on third-party websites. By using our widgets:

  • You agree to display widgets only on websites you own or have authorization to modify
  • You acknowledge that widgets may set cookies for analytics purposes
  • You agree not to modify, reverse engineer, or circumvent widget functionality
  • You accept responsibility for compliance with cookie laws on sites where you embed widgets

10. Third-Party Services

10.1 Integrations

The Service integrates with third-party services including Slack and custom webhooks. Your use of these integrations is subject to the terms of those third-party services. We are not responsible for the actions, content, or data handling of third parties.

10.2 AI Services (OpenAI)

AI-powered features are provided through OpenAI. When you use AI features:

  • Testimonial content is transmitted to OpenAI for processing
  • Processing is subject to OpenAI's Terms of Use
  • We are not responsible for OpenAI's processing or any AI-generated outputs
  • AI features are provided "as is" without warranty of accuracy

10.3 Payment Processing (Stripe)

Payment processing is provided by Stripe, Inc. Your use of payment features is subject to Stripe's terms and conditions.

11. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content, including AI-generated analysis or transcriptions.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TESTIMINT, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
  • ANY CONTENT OBTAINED FROM THE SERVICE
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
  • ERRORS OR INACCURACIES IN AI-GENERATED CONTENT OR ANALYSIS
  • LOSS OF TESTIMONIALS OR OTHER DATA

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED POUNDS (£100), WHICHEVER IS GREATER.

13.1 UK Consumer Rights

If you are a consumer in the United Kingdom, nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any breach of the terms implied by section 12 of the Sale of Goods Act 1979 (title and quiet possession)
  • Any breach of the terms implied by sections 9, 10, and 11 of the Consumer Rights Act 2015 (goods to be as described, of satisfactory quality, and fit for purpose)
  • Defective products under the Consumer Protection Act 1987
  • Any other liability which cannot be excluded or limited under applicable law

For UK consumers, the limitations and exclusions in this section apply only to the extent permitted by applicable law, including the Consumer Rights Act 2015 and the Unfair Contract Terms Act 1977.

14. Indemnification

You agree to defend, indemnify, and hold harmless Testimint and its affiliates, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party right, including intellectual property, privacy, or publicity rights
  • Testimonials or other content you collect, store, or display through the Service
  • Your failure to obtain proper consent from testimonial authors
  • Claims by testimonial authors relating to content you collected through the Service
  • Any media content (images, videos, audio) uploaded to or displayed through the Service, including claims for copyright infringement, breach of image rights, or personality rights
  • Claims of defamation, libel, or slander arising from testimonials you publish
  • Your breach of data protection laws, including the UK GDPR and Data Protection Act 2018
  • Any fines, penalties, or regulatory actions imposed by the Information Commissioner's Office (ICO) or other supervisory authorities arising from your use of the Service

This indemnification obligation shall survive the termination of these Terms and your use of the Service.

15. Termination

15.1 By You

You may terminate your account at any time by contacting us or using account settings. Upon termination, your right to access the Service will cease immediately.

15.2 By Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

15.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your data after a reasonable retention period. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

16. Modifications to Service and Terms

16.1 Service Changes

We reserve the right to modify, suspend, or discontinue the Service at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

16.2 Terms Changes

We may revise these Terms from time to time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.

17. Governing Law and Disputes

17.1 Applicable Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, including the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, and other applicable UK legislation. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17.2 Consumer Dispute Resolution

If you are a consumer in the United Kingdom and have a complaint about our Service, please contact us first so we can try to resolve the issue. If we are unable to resolve the matter, you may be entitled to use alternative dispute resolution procedures.

17.3 Regulatory Complaints

If you believe we have breached data protection laws, you have the right to lodge a complaint with the Information Commissioner's Office (ICO), the UK supervisory authority for data protection. You can contact the ICO at:

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SIZORAX LTD (trading as Testimint) regarding the Service.

18.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
